Sr. Director Business Development – M&A and VenturesThe key responsibility for this role will be to drive Honeywell Building Technologies’ inorganic growth through smart capital allocation to M&A, Venture investments, JVs, partnerships, and alliances. The right candidate will have extensive leadership experience in formulating and executing inorganic initiatives from developing thesis on priority areas, target identification and prioritization, relationship cultivation across both financial sponsors and targets, deal execution and post-close integration in matrixed, Fortune 100 organizations. Specific focus on driving digital transformations leveraging Internet of Things and SaaS. Successful collaboration and influencing multiple stakeholders in a matrixed organization should be evident in robust end-to-end deal sheet. This role will have significant leadership experience and a proven track record of leading projects, management of direct reports and/or large cross-functional teams and “first chair” management on several transactions with key ownership on M&A and Venture priorities. The successful candidate will be a confident, mature person with proven ability to connect and inspire others. This role will report to Chief Strategy Officer of HBT and will have direct and regular exposure to HBT CEO, HBT Leadership Team and Honeywell Executive Leadership team.Key ResponsibilitiesCollaborate with HBT Chief Strategy Officer in building a world-class Business Development and Ventures program through process excellence and by developing and maintaining a robust pipeline that converts to support the Honeywell vision of inorganic growth

Think creatively about markets and adjacencies in which Honeywell plays and recommend attractive business areas where it can acquire, partner, and make strategic venture investments in partnership with Honeywell Venture Fund

Support the development and screening of potential transactions from internal and external “deal sources” and from his/her own strategic market and technical research and in collaboration with SBU BD resources. Provide thought leadership with regard to “strategic fit”, oversee valuation and due diligence efforts and lead negotiation strategy and tactics with all proposed acquisition targets based on deep knowledge of targets and relationships pursued

Lead cultivation of selected targets within served and adjacent markets

Drive operating cadence within the business units to convert ideas, targets and hypothesis into actionable deals

Monitor the M&A, venture, and competitive landscape to help business segments identify and prioritize appropriate opportunities, including through tracking of public companies and interaction with investment bankers, venture communities and other sources of opportunities

Act as the single point of contact with Honeywell Ventures team to drive all aspects of Venture investments in collaboration with HBT’s GBE

Oversee and manage due diligence and integration planning and execution in close coordination and cooperation with the acquiring business unit; oversee valuation and negotiations with primary governance over the same

Collaborate with Honeywell Corporate and define strategic deal structuring, term sheets, including mergers, acquisitions, alliances, partners & ideally experience acquiring or partnering with tech/software companies

Advise senior management of the merits of specific investment opportunities based on thorough analysis and evaluation in the context of Honeywell’s over-arching strategic priorities.

Ensure Honeywell M&A policies and procedures are always complied with and provide periodic training on the same. Facilitate Corporate approval process for all deals

YOU MUST HAVEBachelor’s degree in Business, Finance, Accounting, Economics, or engineering10 + years of strategy development experience with a focus on driving inorganic growth through M&A, Ventures and/or partnerships; significant deal sheet in sourcing, managing and executing complex M&A/business development transactions either within a Fortune 100 corporation, investment bank, Big 4 transaction services and/or management consulting5+ years of experience supporting a P&L with proven ability to improve financial results.Leadership experience, in management of direct reports or larger teams of people, and/or acting as “first chair” on several transactions5+ years of direct experience executing transactions (both acquisitions, divestitures, venture deals) from start to finish, utilizing strong financial capabilities and project management skills - ten or more completed transactions in a first chair capacity.WE VALUEProven leader able to operate and function on a global basisComfort in managing and influencing a ‘hybrid’ global organization with both direct and matrixed reportingStrong business acumen and learning agility to quickly comprehend Honeywell business models, software, technologies, products, services, solutions offered and strategic plans for growthVery high intelligence, curiosity, initiative and highly disciplinedSolid experience analyzing M&A targets, including strategic fit, due diligence and valuation.Familiarity with typical legal and economic terms of M&A transactions and various alternative approaches to risk allocationStrong personal organization and prioritization skills; ability to successfully manage large, complex projects from inception to conclusion, involving diverse, cross-functional teams.Strong quantitative, financial and analytical skills – with the ability to build, critique and refine financial models quickly and accurately.
