Job Description

This position will work closely with the Vice President, US Legal Counsel and the General Counsel to provide legal advice and support on various commercial, corporate and securities matters. The Associate Legal Counsel will provide day-to-day guidance and support on securities and corporate governance matters, as well as general transactional support on a wide range of issues.

Qualifications

ESSENTIAL FUNCTIONS

  • Advise on issues involving the organizations legal and regulatory compliance, with an emphasis on SEC and governance and disclosure matters.
  • Assist in a diverse range of matters related to the day-to day operations of the company, including the negotiation and drafting of various contracts related to company’s business.
  • Research and provide guidance on relevant legal and regulatory issues, and assist the organization to maintain compliance with statutes, regulations, and industry rules.
  • Interface with management and various business groups to provide legal advice on a wide range of issues, such as corporate law, contracts, litigation, insurance, business development, and finance.
  • Assist with preparation, review, and filing of SEC filings and related documents, including annual and quarterly reports on Forms 10-K and 10-Q, proxy statements, registration statements, and all other mandated filings.
  • Manage outside counsel on various projects and matters.

OTHER RESPONSIBILITIES

  • Provide support for special projects and performs other duties as assigned.

EDUCATION, EXPERIENCE, AND SKILLS REQUIRED

  • Juris Doctorate degree from an ABA accredited law school and membership in at least one U.S. state bar.
  • Minimum 5 years of legal experience. In house experience preferred, but not required.
  • Familiarity with financial statements and accounting literature and comfort discussing underlying financial statement concepts.
  • Ability to contribute to discussions of general business issues and to work well with a wide range of clients, from senior executives to operating personnel, and to work independently as well as to lead a project.
  • Familiarity with securities law.
  • Must be able to read, write and speak English at a level which will permit the employee to accurately understand and communicate information to effectively perform the job duties. Additional languages preferred, but not required.
  • Strong interpersonal skills, along with excellent written and oral communication skills.
  • Must have high level of integrity, discretion, judgment, and the ability to multi-task.
  • Eagerness for learning new areas of law and expanding legal and business skill set.

PHYSICAL REQUIREMENTS

  • Must be able to work in an office environment.
  • The ability to work at a computer and computer monitor for long periods of time and stay alert.
  • This position requires the ability to travel as required.
