The Corporate Counsel is able to provide significant support to the Legal Team and the organization, on matters of critical importance.  They have a broad substantive skill-set, plus the interpersonal strengths, resourcefulness and drive to handle directly the wide ranging routine legal needs of the Company's various businesses and functional departments.
ResponsibilitiesAdvises on a broad range of securities laws and corporate governance matters. Assists in the preparation and review of securities filings (annual, quarterly and current reports, proxy statements and Section 16 filings).  Maintains policies and procedures to ensure compliance with Sarbanes-Oxley, New York Stock Exchange rules, SEC regulations (e.g. insider trading, Reg. FD) and other regulations applicable to public companies.  Prepares and reviews meeting materials for the Board of Directors and its committees.   Provides legal support for domestic and foreign subsidiaries.  Provides legal support to Strategy and Corporate Development function, including on matters relating to mergers and acquisitions  (e.g. due diligence, drafting agreements).  Provides legal support to the Finance function, including treasury and tax. Provides legal and corporate governance support for institution boards. Performs other duties as assignedComplies with all policies and standards
