Our new team member may work remotely or, if desired, in a local Experian office and has experience with learning, both as a lawyer and more as a business professional.You have experience drafting, negotiating, remediating, and building complex agreements for clients in employer services or multiple industries and public sectors, including telecom, financial services, FinTech, and technology. You have your chance to negotiate contracts directly with Experian's business clients, requiring in-depth work with and understanding of agreements for multiple products and services, including employer services, SaaS, licensed software, consulting, and professional services. The agreements are varied and may include professional services agreements, RFPs, RFQs, NDAs, evaluation agreements, standard terms and conditions, service level agreements, and master services agreements. As an Associate Corporate Counsel, you will report to the Sr. Commercial Contracts Manager.What you'll do
As a negotiator and partner, you will find creative solutions that meet both Experian's and its clients' business and compliance needs and ensure that contracts comply with Experian policies, business practices, and regulatory requirements.
We ask that you coordinate with multiple partners and subject matter experts in multiple roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance, to help complete transactions within the required (and oftentimes) time frame.
You will also maintain and enforce compliance with contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with ongoing remediation and administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies.
Use your judgment quickly to facilitate deal execution while minimizing risk to Experian's interests.
Qualifications
JD from an accredited law school; admission to the bar of any state.
2+ years of experience as a member of the in-house legal department or contracts department.
High level of comfort in a large business environment supporting a sales-focused organization, working directly with business and technical colleagues and executive leadership to provide succinct advice regarding contract terms and business practices.
Excellent contract drafting skills and contract negotiation, understanding how to balance main risks and opportunities to reach a mutually acceptable agreement while maintaining professional decorum and encouraging internal and external relationships, including leading calls with clients during contract negotiations.
Direct experience negotiating critical contract terms, such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security
Experience aligning contract terms to meet revenue recognition requirements and accounting rules for multiple types of services, including software and custom development projects.
Excellent and advanced Microsoft Word skills, prior experience using Microsoft Excel (can maintain complex spreadsheets) and PowerPoint, and proficiency with Adobe products (PDFs and Adobe Sign).
Demonstrated interest in, desire to use, and embrace multiple technology platforms.
