DescriptionSeeking a full-time Associate Counsel to work with an experienced General Counsel in private real estate company located in Chesterbrook, PA.
Responsibilities include:
Participate with general counsel in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Act as a strategic implementer and advisor of legal initiatives for various business units, including development, construction, compliance and property management for both legal and non-legal matters.
Serve as support lawyer/legal advisor on all business transactions, including acquisitions, divestitures and joint ventures.
Drafts and negotiates various documents including term sheets, corporate operating agreements, property acquisition and disposition agreements, loan agreements, development and construction contracts, easements, leases and other similar documents.
Assumes secondary responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations as well as internal and external compliance.
Act as a legal advisor (secondary to General Counsel) to executive management regarding matters in the legal fields of labor and employment, insurance, corporate, contract, construction, landlord-tenant, property and various other matters.
Maintain all material agreements and corporate documentation.
Manage corporate entities and structure at the direction of the General Counsel.
