Purpose of the Job: To manage a portfolio of client companies and provide quality corporate administration services to local and international clients in a timely and efficient manner. Uphold Ocorian's core values by promoting a culture of client focus, collaboration, professionalism, teamwork, and leadership.Main Responsibilities:Corporate Administration:Responsible for the complete management and delivery of quality corporate administration services in accordance with the statutory regulations under Cayman law to an assigned portfolio of local and international companies and exempted limited partnerships.Receive instructions from the Team Lead – Corporate Services/Manager – Corporate Services to complete the registration of a company or partnership through ViewPoint and take all necessary steps to register the entity.Ensure that the corporate records of each company and status of each company are accurately recorded within ViewPoint.Review and process requests from duly authorized client representatives for changes to constitutional documents and/or the registers for each company, e.g., increases and reductions of share capital, change of name, appointment/resignation of a Director or Officer, and/or issuance/transfer of shares.Prepare required documentation and arrange for filings with the relevant statutory authorities, e.g., ROC & CIMA.Compliance and Regulatory:Maintain the Register of Members, Register of Directors & Officers, and Register of Mortgages & Charges of each relevant company and the Register of Partnership Interests of each relevant limited partnership through ViewPoint.Ensure that all annual filing and license fees and annual returns that are payable by each relevant entity under Cayman law or required to be made are paid or filed to the relevant authorities when due.Follow up on missing KYC as necessary to make sure each company is compliant and/or request the necessary KYC documents where changes have occurred in the Directors and/or Members of the company. Requesting assistance from Compliance as needed.Collect client due diligence (CDD) documents as required to ensure compliance with regulatory standards.Client Interaction and Teamwork:Manage business intelligence, including capturing all contact details (where appropriate) and business development-related activity in accordance with internal policies and procedures.File documents as appropriate in the physical files of the company and maintain electronically the records in ViewPoint and iManage when receiving general mail and documents from the client, the ROC, and the Client Director, etc.Draft minutes/resolutions under the guidance of the Team Lead – Corporate Services/Manager – Corporate Services as requested in relation to an assigned portfolio of local and international companies.Support an atmosphere of cooperation and teamwork.Time Management and Financial Oversight:Complete time recording daily to record 7.5 hours per day either through recording billable or non-billable time.Based on service requests received from the client, record fixed fee entries in NAVOne to be billed to the client monthly.Manage accounts receivable (AR) and work in progress (WIP) for the assigned portfolio, ensuring timely billing and collection of fees.
