JOB SUMMARY
The Legal Counsel will be a corporate generalist, assisting on a wide range of commercial agreements related to the oil and gas drilling industry, including customer and vendor master purchase and master service agreements, nondisclosure agreements, license/technology agreements, supply agreements, real estate and equipment leases, joint venture agreements, and software license agreements. Ideally, the Legal Counsel will have experience with Latin America and be able to speak Spanish.

DUTIES AND RESPONSIBILITIES


  • Draft, negotiate directly with customers and vendors, and provide legal guidance to Company personnel, on a wide variety of commercial contracts
  • Anticipate and guard against legal risks facing the company, both domestically and internationally
  • Recommend and assist with the development of company policy and position on legal issues
  • Conduct and coordinate research into a variety of legal issues
  • Facilitate the resolution of business and legal issues and formulate recommendations using analysis, creativity and the development of new approaches to enable contract execution while safeguarding the Company and creating a positive customer experience in accordance with Company policies and procedures.
  • Work with internal stakeholders across multiple business units and functional groups ensuring that all contracting processes, guidelines and procedures are followed, including obtaining and documenting any approvals required in connection with each contract.
  • Assist with other corporate legal matters as required
MINIMUM QUALIFICATIONS
  • Candidates must have a JD degree (or global equivalent) from an accredited law school
  • Active bar membership
  • Three to five years of experience in a wide range of legal matters
  • Experience with a large law firm and/or in-house corporate legal department preferred
  • Excellent written and oral communication skills

While performing the duties of this job, the employee is frequently required to sit. The employee is occasionally required to stand, walk and use hands. The employee may occasionally lift and/or move up to 10 pounds.
