Description ResponsibilitiesWe have an exciting opportunity for a Corporate Paralegal to join a growing and collaborative team. The paralegal will work with a friendly team and have
Maintain entity management database and docket system, upload documents, docket filing due dates, and maintain minute books.
Prepare, transmit to clients and file annual reports and consents.
Coordinate and prepare necessary documents and forms relating to the formation of entities and ongoing corporate operations.
Handle the issuance of stock certificates, maintain stock ledgers and capitalization tables.
Prepare applications for federal employer identification numbers and coordinate with IRS.
Assist in the preparation and filing of UCC filings.
Analyze and review UCC search results.
Prepare and assemble closing books for corporate matters.
Interact with corporate service providers regarding statutory registered agent services.
Manage the obtaining and processing of invoices related to corporate filings.
Requirements
The ideal candidate will possess strong attention to detail, excellent organizational skills, and the ability to balance multiple priorities. Additional qualifications include:
Proven experience as a corporate paralegal.
Excellent understanding of legal terminology and processes.
Proficient in Microsoft Office Suite and database management.
Excellent oral and written communication skills.
Ability to work under pressure and meet deadlines.
