Represent public and private companies and private equity sponsors in connection with cross-border and domestic transactions including acquisitions, dispositions, strategic mergers, de-SPACs, take-private transactions, joint ventures, spin-offs and equity investments. Advise clients considering or participating in these transactions, including advising on transactional structures and deal terms. Negotiate and prepare primary transactional documents, including share and asset purchase agreements, merger agreements, shareholder agreements and joint venture agreements. Oversee transactional due diligence processes. Advise clients on transaction-related internal restructuring and review necessary documentation. Liaise with local counsel and specialists regarding regulatory filings, requirements and other state or foreign legal issues. Coordinate closings, including reviewing funds flows, closing statements and distribution waterfalls. Advise clients on corporate governance matters.$390,000 per year REQUIREMENTS: Juris Doctor or foreign equivalent, New York Bar admission, 2 years of experience in position or 2 years of alternate occupational experience performing complex merger & acquisition transactional legal duties. In lieu of a Juris Doctor or foreign equivalent, a Master of Laws or foreign equivalent is acceptable. In lieu of a Juris Doctor or foreign equivalent or a Master of Laws or foreign equivalent, a Canadian Juris Doctor is acceptable.Minimum Salary: 390000
