Corporate & Real Estate Paralegal

Tonkon Torp, a prominent, full-service firm in Portland, Oregon, is looking for a motivated and detail-oriented Corporate & Real Estate Paralegal with at least three years substantive corporate paralegal experience in securities, real estate, transactional, corporate governance/or and entity management to join our busy Business Group immediately.

Ideal candidates should possess excellent organizational and proofreading skills, be able to coordinate with support teams and administrative agencies, and enjoy detailed work in a busy, deadline-driven environment. Hybrid work may be available after the first 30 days of employment.

Typical duties may include:

Performs assigned legal and real property research tasks using all available resources, including libraries, computer data systems, and the Internet.

Prepares documentation for the formation, foreign qualification, and dissolution of various entities (e.g., corporation, partnership, LLP, LLC, LP, PC and nonprofit).

Obtains certificates from Secretary of State (e.g., good standing of company).

Researches, prepares and files name reservations, state licenses, trade and service marks.

Establishes, organizes and maintains corporate minute books and related records.

Performs independent work on all facets of corporate, stock transfer, and stock option plan administration, including stock issuance, preparation of related agreements, and administration and tracking records.

Reviews and analyzes corporate minute books and related records in preparation of board and shareholder meeting minutes, consents, annual reports, and other state filings.

Prepares UCC filings, other state and county recordings, and orders and analyzes UCC searches.

Assists in drafting, formatting, and filing forms with the SEC via Edgar (i.e., Forms 3, 4, 5, 13D, 13G, 8-K, 10-Q, 10-K, and proxy statement).

Assists in due diligence process for private offerings, mergers and acquisitions, and other business transactions.

Prepares closing documents, assist with closings; prepares closing books.

Assessing and preparing contracts, lease agreements, critical date lists, and closing documents.

Analyzes corporate records and summarizes outstanding issues.

Drafts real property deeds and related documents.

The ideal candidate possesses:

Three or more years of substantive corporate paralegal experience in securities, real estate, transactional, corporate governance/or and entity management

Ability to learn and keep abreast of changes and new developments in relevant law and practice

Well-developed writing skills necessary for preparation of correspondence and research memoranda

Ability to function in a law-firm environment (e.g., confidentiality standards, client contact, record keeping)

General knowledge of corporate structuring, business law and/or finance and accounting terms

Can perform independent work on all facets of corporate stock transfers and stock option plan administration

Familiarity with Shareworks, Carta, and LTSE or similar online equity management platform as well as collaborative file sharing software such as HighQ, ShareFile, Google Docs, DropBox, and Box is a plus

Basic knowledge of Westlaw, Lexis/Nexis, and other legal research resources

Strong Outlook, Word, Excel and Adobe Acrobat Pro skills

Excellent written and oral communication skills
