Scope of Work
Review and finalize fund documents for a Regulation D Rule 506(c) offering
Advise on Form D filing and 50-state Blue Sky notice filings
Confirm Rule 506(d) bad actor compliance
Sanity-check LPA, PPM, subscription documents
Spot issues before first close (not reinvent the fund)
All core documents are already drafted — this is review, refinement, and launch guidance, not greenfield drafting.

Ideal Background
5+ years securities law experience
Direct experience with private funds / venture funds
Strong working knowledge of:
Reg D (506(b)/(c))
Blue Sky notice filings
Exempt Reporting Adviser (ERA) considerations
Comfortable working directly with a founder / GP
Pragmatic, responsive, and commercially minded
