Prepare and co-ordinate the annual Proxy Statement, including managing the processes for supporting the Board of Directors for re-election and responding to and analyzing shareholder proposals
Oversee the preparations for the Annual Shareholders Meeting
Participate in the development of strategy for best positioning the Corporation to respond to investors’ emerging topics of interest
What you will do
Prepare and coordinate the annual Proxy Statement, including developing recommendations and preparing content for both the discretionary and non-discretionary components of the Proxy Statement
Manage the process for shareholder proposals, including processing filings, responding to and engaging with proponents, developing initial recommendations, and drafting initial responses
Facilitate proxy season advocacy, including developing recommended responses to additional filings and solicitations
Support the execution of the Annual Shareholder Meeting, including preparation of the presentation and Q&A materials
Support engagements with various stakeholders and draw insights to inform proxy season and marketing strategies
Develop and communicate actionable insights based on market analysis
Recommend and support enhancements to corporate publications based on investor feedback on our disclosures
Serve as primary contact for transfer agent, inspector of elections, and proxy distribution vendors
Manage and recommend the Proxy Solicitor and oversee the relationship
Lead analysis of Proxy voting, the tracking process and communications to management about voting results
Oversee monitoring of the external environment and keep management apprised of changes in investors’ information needs
About youSkills and Qualifications
Prior experience with shareholder proposals and the development of proxy statements
Excellent project management details, including attention to detail
Strong influence and persuasion skills
Strong interpersonal and communication skills, including active listening
Strong analytical skills
Experience in strategy development / strategic thinking
Understanding and knowledge of SEC rules / regulations for proxy statements, shareholder proposals, and proxy solicitations
Preferred Qualifications/ Experience
Understanding and knowledge of the investment community
Understanding and knowledge of environmental, social and governance topics
Advanced communication skills
