Hub is looking for a Senior Counsel, Commercial Transactions who will play an important role in supporting the day-to-day commercial transactional legal needs. This position focuses on representing our company in connection with a variety of contractual matters, this includes supporting our internal associates with client engagement agreements, non-disclosure agreements, insurance carrier and partner agreements, and other commercial, vendor and client-facing agreements. This position also focuses on supporting the corporate mergers and acquisitions team and its equity administration team by drafting and negotiating equity grant agreements.Responsibilities:

Provide advice on, negotiate, and draft client engagement agreements, carrier and partner agreements and other commercial agreements governing vendor and client relationships in a manner consistent with business decisions, policies, and strategy.

Support the merger and acquisition team by drafting equity interest grants and other equity rights grants made in connection with M&A transactions.

Support the equity administration team in connection with drafting equity interest grants and other equity rights agreements, and legal support for tenders and redemptions.

Have significant involvement in contractual matters throughout the entire contract lifecycle, from formation to termination.

Manage multiple contracts and projects in a deadline driven, fast paced environment.

Work with a wide range of internal clients including senior executives, Finance, and the M&A team and across the US.

Engage in and drive projects and initiatives in Legal and at the corporate enterprise level.

Requirements:

Juris Doctorate (JD) degree is required, as well as being a member of a State Bar in good standing.

Minimum of ten (10) years’ experience in a commercial transactions attorney role working specifically on commercial transactions at a law firm, consulting firm, or in-house.

Experience drafting, reviewing, negotiating, and advising on a variety of contracts with clients, vendors and other third parties.

Demonstrated experience of excellent written and verbal communication and interpersonal skills working independently or within a team environment, required.

Experience working effectively within a team oriented collaborative organization with an eagerness to learn the insurance brokerage industry.

Experience or strong interest in the insurance brokerage industry, financial services, or other related regulated industry.

Proficient in the use of Microsoft Word, required; PowerPoint, Excel and SharePoint competence is preferred.

Demonstrated record of providing substantive/technical legal advice and support to clients.

Strong project management skills, including ability to manage multiple projects simultaneously and effectively to completion.

Positive client-service attitude.

Detail oriented, with excellent organizational skills.

Exercises good judgment.

Ability to issue spot and summarize key points succinctly.

Ability to be flexible and adaptive.

Able to maintain the highly confidential nature of information.
