Senior Paralegal (Part-time)

Outstanding non-profit seeks Senior Paralegal on part-time (25 hours) basis to assist busy legal department. This company trains and certifies exercise professionals such as health coaches, personal trainers, fitness instructors and medical exercise specialists.

Qualifications:

Education:

Bachelor's degree in Paralegal Studies, Legal Studies, or a related field.

Experience:

Minimum of 8 years of experience as a paralegal with a focus on contract management.

Proven experience drafting, reviewing, and negotiating contracts independently.

Responsibilities:

1.Contract Drafting and Review:

Prepare, review, and edit a variety of contracts, agreements, and legal documents, ensuring accuracy, compliance, and alignment with company policies.

Collaborate with internal stakeholders to understand business objectives and negotiate favorable terms.

2.Contract Administration:

Maintain a centralized repository for all contracts, keeping records organized, up-to-date, and easily accessible.

Monitor contract expiration dates and proactively manage renewals or terminations as needed.

Track contract deliverables and obligations to ensure compliance.

3.Legal Research and Analysis:

Stay abreast of relevant laws, regulations, and industry standards affecting contracts.

Provide legal analysis and guidance on contractual issues, identifying potential risks and proposing solutions.

4.Collaboration and Communication:

Work closely with cross-functional teams, including sales, procurement, and finance, to facilitate effective communication and streamline contract processes.

Serve as a point of contact for internal and external parties on contract-related matters.

5.Training and Knowledge Sharing:

Conduct training sessions for internal teams on contract-related topics, ensuring a comprehensive understanding of legal processes and compliance.

Share updates on relevant legal developments and best practices within the organization.

6.Provide Integral Guidance and Support:

Offer critical guidance and support on complex, high-profile, and sensitive legal matters, including internal investigations and risk assessments.

Distill crucial facts and information into actionable deliverables for attorneys and business clients.

7.Exercise Excellence in Judgment and Strategic Thinking:

Demonstrate excellence in judgment and strategic thinking when communicating information to attorneys and business clients.

Assist in crafting strategic decisions related to the design and implementation of ethics and compliance procedures.

8.Expertise in Compliance Policies:

Demonstrate expertise in the Company’s compliance policies, fielding questions from business contacts, and exercising independent judgment on when to escalate to an attorney.

9.Lead Document Collection Procedures:

Independently lead document collection procedures on complex and/or high-risk matters, including liaising with the e-discovery team and/or third-party vendors.

Manage data loading into document review databases, applying search terms, and exporting data as needed.

10.Operate Third-Party Due Diligence System:

Lead day-to-day operation of the third-party due diligence system, serving as a trusted point-of-contact for the business with expert-level knowledge

11.Assist in Ethics and Compliance Tasks:

Assist in conducting internal reporting and other ethics and compliance tasks, including maintaining and updating compliance trackers and dashboards.

Draft, proofread, and adapt communications and work product for internal clients and external counterparties.

12.Contract Management and Document Systems:

Manage, administer, and utilize contract management software and other legal/finance document management systems, including real estate lease management.

13.Litigation Support and Discovery:

Assist in the discovery process for litigation matters.

Prepare, edit, review, proofread, assist, and/or organize legal and/or finance-related records, documents, contracts, correspondence, reports, and presentations.

14.Regulatory Compliance and Company Policies:

Assist with completing forms for regulatory compliance.

Assist with the enforcement of company policies.

15.Legal Entity Org Chart Maintenance:

Maintain and update the legal entity org chart, providing abbreviated and/or certified versions for third parties.

Skills:

Strong knowledge of contract law and legal terminology.

Excellent written and verbal communication skills.

Proficiency in legal research and analysis.

Detail-oriented with strong organizational and multitasking abilities.

Ability to work independently and collaboratively in a fast-paced environment. Ability to work independently on complex and/or high-risk matters.

Must be team-oriented and able to multi-task, prioritize and manage multiple projects.

Ability to identify relevant information and exercise independent and excellent judgment in distilling and presenting information to attorneys and business clients.

Excellence in quickly developing operational expertise regarding various compliance tools and systems used at the Company and adaptability when those tools and systems change.

Certifications:

Paralegal certification preferred.
