Req Number 135664Job DescriptionNegotiates and oversees administration of terms and conditions for organization IT contracts; advises management on contractual rights and obligations, provides interpretation of terms and conditions, and participates in developing IT Contracting Policy. Collaborates and coordinates with Legal, Procurement and other departments. Reviews company and customer objectives, and resolves issues regarding contract compliance; researches and recommends contract policies and procedures, maintains strong understanding of industry best practices and current developments in contract administration.Job Responsibility
Provides strategic advice and guidance to the Counsel function. Drafts, edits and negotiates contractual terms and conditions with vendors and assists Procurement Department in negotiations of technology agreements including, but not limited to, negotiation of business terms and conditions of software subscription and license agreements, hardware acquisition contracts, maintenance and support agreements, service and consulting contracts, and system renewal/ upgrade contracts.
Works with the technical teams to analyze acquisition requirements ;advises all levels of staff and management regarding contract terms and conditions, applicable policies and procedures, and best practices to advance IT department business objectives.
Maintains database of contracts including key terms and conditions necessary for the proper administration of IT agreements.
Responds to inquiries regarding contract obligations ;advises project leaders regarding contractual issues ;works with vendors and organization teams to understand and resolve contractual issues.
Prepares management reports regarding contract status, compliance, modifications, etc.
Monitors active contracts and assists IT staff with ensuring contractual commitments are understood and met.
Oversees contract tracking system to assure timely renewal/bid process and notification of expiration.

Job Qualification
Juris Doctor and admission to New York State Bar required.
10+ years of relevant experience and 2+ years of leadership / management experience, required.
