Description Robert Half is seeking a Contract Managing Attorney to join the team of our client. This role is primarily in the non-profit industry and offers a contract employment opportunity. The Contract Managing Attorney will focus on reviewing and negotiating contracts, managing the contract lifecycle, and providing general legal advice. Responsibilities: Review and negotiate contracts to ensure they are in compliance with all legal standards and regulations Manage the entire contract lifecycle, from initiation to completion and renewal Provide general legal advice and counsel on a variety of legal matters Communicate effectively with all stakeholders to facilitate contract negotiations and manage contract lifecycle Utilize the software "Asana" for efficient and effective contract management Handle multiple contracts simultaneously while ensuring accuracy and efficiency Collaborate closely with the General Counsel and other team members to ensure all legal requirements are met Engage in minimal state filings as part of the role Apply skills in Document Management, Contract Negotiation, Contract Administration, Legal Compliance, Legal Contracts, and Negotiate Contracts Utilize knowledge in Non-profit Accounting and Fund Accounting - Non-Profit for effective contract management and negotiation.Requirements Possession of a Juris Doctorate (JD) from an accredited law school. Admission to the state bar and good standing. A minimum of five years of experience in contract law, specifically with drafting, negotiating, and ensuring compliance with contracts. Demonstrated experience in contract administration and document management. Proven skills in legal contract negotiation and administration. Knowledge of and experience in legal compliance pertaining to contract law. Proficiency in non-profit accounting and fund accounting specific to non-profit organizations. Ability to effectively negotiate contracts to meet organizational needs and ensure legal compliance. Excellent verbal and written communication skills. Strong interpersonal skills and the ability to work effectively in a team-oriented environment. Demonstrated ability to manage multiple tasks and projects simultaneously. Strong analytical and problem-solving skills. Experience working in the non-profit sector is preferred. Proficiency in using legal research tools and software. Ability to maintain confidentiality and handle sensitive information with discretion. Strong organizational skills and attention to detail. Location: Austin, Texas or Denver, Colorado (hybrid) Position Overview: The Senior Contract Negotiator will play a critical role in managing and negotiating complex contracts with our clients, vendors, and partners. This role requires a deep understanding of the software technology industry, particularly the SaaS space, and the ability to navigate and mitigate legal risks while achieving favorable terms for the company. The ideal candidate will have a 5-10 years of experience in contract negotiation and a proven track record of successfully closing high-stakes deals. You will: Lead and manage the end-to-end contract negotiation process for complex technology agreements, including SaaS, software licensing, and professional services contracts. Collaborate closely with internal stakeholders, including sales, procurement, finance, and product teams, to understand business objectives and ensure alignment in contract terms. Identify and mitigate legal risks by drafting, reviewing, and negotiating contract terms and conditions. Provide strategic advice and guidance to senior management on contractual matters and potential impacts on business operations. Develop and implement best practices and standard operating procedures for contract negotiation and management. Conduct thorough analysis of contractual terms to ensure compliance with company policies, industry standards, and applicable laws and regulations. Manage relationships with external legal counsel, when necessary, to support complex negotiations and disputes. Stay up-to-date with industry trends, regulatory changes, and legal developments affecting the technology and SaaS sectors. You have: Minimum of 5-10 years of experience in contract negotiation, with a focus on the software technology industry and SaaS agreements. Strong understanding of US software licensing, SaaS, and technology procurement contracts. Demonstrated ability to negotiate and close complex, high-value deals.
