Legal Operations Specialist – Legal Support

Description We are partnering with a nonprofit client seeking a Governance Manager who will play a crucial role in overseeing the organization’s governance processes, board resolutions and operations, ensuring compliance with corporate law, and promoting alignment with the organization's mission and bylaws. The Governance Manager will work closely with senior staff, manage governance training, and serve as a key liaison for various committees and stakeholders.Key Responsibilities:

Ensure adherence to the organization's bylaws, policies, and nonprofit law.

Collaborate with senior leaders to refine governance policies, promoting best practices across the organization.

Lead governance training and serve as the go-to resource for staff and members on governance-related matters.

Draft and manage key documents, such as agendas, meeting minutes, reports, and action items.

Oversee the preparation and administration of corporate governance board resolutions and corporate minutes to support effective decision-making.

Provide project management for select strategic initiatives, working with various divisions and committees.

Oversee board operations, including planning meetings, preparing materials, and managing conflict-of-interest processes.

Support new board member onboarding, orientation, and development activities.

Requirements

Qualifications:

Bachelor’s degree required;

3+ years of experience in nonprofit governance, association management, or a related field preferred.

Strong knowledge of nonprofit corporate law and governance best practices.

Excellent communication, organizational, and project management skills.

Ability to work independently and maintain confidentiality.

Proficient in Microsoft Office and familiar with board management software.

Responsibilities Serves as an information resource to Support Services Supervisor at meetings and conferences on support services matters. Maintains liaison with staff members of relevant Departmental organizations (e.g., various facilities management, parking office, and records management within the Bureau of Administration. Coordinates the acquisition of assigned support services, most of which are acquired from established Departmental sources. Participates in the administration of a selected number of the various logistical and space management programs related to the Bureau, under the general direction of the Support Services Supervisor. Requirements Conditions of Employment Qualifications Applicants must meet all the qualification requirements described below by the closing date of this announcement. Have at least 1 full year of specialized experience equivalent to the GS-05 level in the Federal service which provided you with the knowledge of the methods and procedures for providing or performing a variety of functions and services applicable to the position to be filled; ability to plan, organize, and control work involving diverse activities; ability to gain cooperation and coordinate the work of others; and skill in oral and written communication. Examples of qualifying specialized experience include: Management analyst or technician or other work that included study, analysis, or evaluation leading to the development or improvement of managerial or administrative policies, practices, and procedures. Administrative officer or assistant, budget administration, program analysis, or other work that demonstrated knowledge of an organization and its functions, and the ways in which support services can facilitate the work of the organization. Office management experience that included responsibility for directing a variety of support services such as typing, mail processing, purchase of supplies and equipment, etc. Secretarial work that required monitoring and coordinating administrative and processing work of subordinate elements through a system of internal procedures, controls, production, progress reporting, etc., to insure the efficient operation of an organization. Military experience that included responsibility for directing a variety of support functions such as communications, property management, mail service, facilities and equipment maintenance, etc. In addition, qualifying specialized experience must demonstrate the following: OR B. Completed 1 full year of graduate level education at an accredited college or university in public administration, business administration, industrial engineering, industrial management, or other administrative or management fields related to the position to be filled; OR C. Have a combination of graduate education with a major in public administration, business administration, industrial engineering, industrial management or other administrative or management fields related to the position to be filled AND specialized experience (as described above), which is equivalent to the GS-05 level in the Federal Service. This experience and education together meets 100% of the qualification requirements; OR D. Completed a 4-year course of study leading to a bachelor\'s degree in an accredited college or university AND have a grade-point average of \"B\" (3.0 or higher on a 4.0 scale) for all completed undergraduate courses or those completed in the last two years of undergraduate study; OR E.
